Article 1 — Definitions

The following terms are defined as:

• "User": an individual or legal entity that registers for and uses the Service
• "Workspace": a unit created and managed by a User within the Service
• "Agent": the AI assistant functionality provided by the Service
• "Credit": the unit consumed when using AI functionality within the Service
• "Content": all data registered, created, or stored by a User on the Service

Article 2 — Service Description

The Company provides an AI agent platform that includes the following features:

• Task management and automation via AI agents
• Workflow creation and execution
• Context management via virtual database (VDB)
• Management of workspace goals, principles, and protocols
• Integration with external services
• Lifecycle features such as morning briefings and evening reviews

The Company may modify, suspend, or discontinue the Service with prior notice for maintenance, improvement, or other operational reasons.

Article 3 — Accounts & Workspaces

• Users must register accurate information and keep it up to date.
• Users are solely responsible for managing their account credentials and maintaining security.
• Users must notify the Company immediately upon discovery of any unauthorized access.
• A single account may create and manage multiple workspaces.
• Inviting members and managing a workspace are the responsibility of the workspace owner.

Article 4 — AI & Credits

The AI features of the Service use external AI providers such as OpenAI, Anthropic, and Google.

• Credits are consumed when using AI features.
• Credits comprise base credits (time-restored) and generation credits (consumed), which vary by plan.
• Input to AI is sent to external provider APIs but is not used for training purposes.
• The accuracy or suitability of AI-generated results is not guaranteed. Human review is required for important decisions.

Article 5 — Fees & Payment

• Paid plan fees follow the Company's published pricing.
• Payment is processed via Stripe by credit card.
• Monthly plans auto-renew on the same calendar day each month.
• Refunds are generally not available due to the nature of digital services; however, exceptions may apply where the issue is caused by the Service.
• Prices may be revised with at least 30 days' prior notice.

Article 6 — Prohibited Conduct

Users must not engage in the following:

• Acts that violate applicable laws or public order
• Reverse engineering or decompiling the Service
• Spam, automated abuse, or circumventing rate limits
• Interfering with or harassing other users
• Transferring or selling an account to a third party
• Registering false information or engaging in fraudulent conduct
• Infringing the Company's intellectual property rights
• Intentionally attempting to compromise the infrastructure or security of the Service

Violation of these prohibitions may result in immediate account suspension or termination without notice, and the Company may seek damages.

Article 7 — Intellectual Property

• All intellectual property in the Service's source code, design, and documentation belongs to the Company.
• Content registered or created by a User remains the property of the User.
• The Company does not claim ownership of User Content but may use it solely to the extent necessary to provide the Service.
• The Company's trademarks and logos may not be used without prior written permission.

Article 8 — Disclaimers & Limitation of Liability

The Company is not liable for:

• Service interruptions, outages, or data loss
• Unauthorized access resulting from a User's security failures
• Accuracy or completeness of AI-generated content
• Issues with external services or integrations
• Business losses, lost opportunities, or loss of profits

The Company's liability for damages caused by its wilful misconduct or gross negligence shall be limited to the total fees paid by the User in the 12 months preceding the incident, except where such limitation is prohibited by applicable law.

Article 9 — Beta Program

Users participating in the Beta Program are subject to the following additional conditions:

• Duration: The Beta period is planned for approximately 3 months from registration but may be modified or ended at the Company's discretion.
• No Continuity Guarantee: Beta access may be revoked at any time. Features available during Beta may be changed or removed at general availability.
• Feedback: Beta participants are encouraged to provide feedback. Voluntarily submitted feedback may be used by the Company to improve the Service.
• No Warranty: Beta features are provided "as is" without warranties of availability, reliability, or fitness for a particular purpose.
• Transition: After the Beta period, workspaces will transition to an applicable paid or free plan. Users will be notified in advance.

Article 10 — Changes to Terms

The Company may update these Terms to reflect changes in law or service improvements. Material changes will be notified at least 30 days before taking effect via the platform or email. Continued use of the Service after changes take effect constitutes acceptance.

Article 11 — Governing Law & Jurisdiction

These Terms are governed by the laws of Japan. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the district court having jurisdiction over the Company's registered address.
